This is an opportunity to learn about what has happened with our club over the past year as well as vote on proposed by-law changes. It is important for members to attend since a quorum is at least 25 members.
Our new website allows us to vote electronically for the first time. This change enables the club to revise the by-laws using online voting procedures, mail-in ballots or by a vote at an annual or special meeting of the club. It also changes the comment period to allow more time for input.
The Council recommends this change for the following reasons:
• More club members will be able to vote. Currently, only those members able to attend the annual meeting in person can vote on proposed changes. For those members who do not have an email address, the Club can send them a paper ballot.
• Voting electronically is much cheaper and more time efficient than holding a special meeting or sending out ballots to the entire Club.
• The extended comment period will allow a greater time period for input on the final version.
The Chemeketans Executive Council proposes amending Article XI of the Chemeketans By-laws. Article XI deals with the procedures for making changes to our by-laws.
Please send any comments you have regarding the proposed by laws to firstname.lastname@example.org no later than December 31, 2018. Also, there will be an electronic forum on the Chemeketans website for comments.
The current Article XI of the By-laws states:
ARTICLE XI AMENDMENTS
Amendments to the By-laws may be made at any annual or special meeting of the Club. Notice of the proposed amendment(s) shall be given in full by publication in the Club Bulletin not less than 30 days and not more than 90 days prior to the meeting. Such amendment(s) must be proposed in writing at the meeting, signed by at least five adult or adult life members. Amendments shall be made if a majority of the members present and voting have voted in favor of the amendment.
Proposed revised Article XI of the By-laws:
